Terms and Conditions

1. Acceptance of Terms

By accessing or using the Nehborly website (“Site”), mobile application, or any associated services (collectively, the “Service”), you (“User” or “you”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, you must not access or use the Service.

2. Eligibility

2.1 Age Requirement: You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account or use the Service. By using the Service, you represent and warrant that you meet the applicable age requirement and have the legal capacity to enter into these Terms.

2.2 Compliance with Laws: You are solely responsible for ensuring that your use of the Service is in compliance with all laws, rules, and regulations applicable to you. Nehborly bears no liability arising from your failure to comply with such laws or regulations.

3. Modifications to Terms

3.1 Right to Modify: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Any changes will be effective immediately upon posting on the Site. It is your responsibility to review these Terms periodically.

3.2 Notice of Changes: If we make significant changes, we will provide notice through the Site, by email, or by other means. Continued use of the Service after such notice constitutes your acceptance of the revised Terms.

4. User Conduct & Prohibited Uses

4.1 Prohibited Content: You agree not to post, upload, transmit, or otherwise make available through the Service any content that:

  • Is unlawful, threatening, harassing, abusive, defamatory, libelous, deceptive, or fraudulent;
  • Is hateful, racist, or discriminatory, or encourages harm against any individual or group;
  • Contains nudity, pornography, obscene or sexually explicit material;
  • Violates any third-party rights, including intellectual property rights or rights of publicity or privacy;
  • Contains viruses, malware, or any software intended to disrupt or damage the Service or other Users’ systems.

4.2 Prohibited Activities: You agree not to:

  • Harass, threaten, or impersonate any person or entity;
  • Use or attempt to use another User’s account without authorization;
  • Engage in data mining, scraping, or any other automated means to extract or collect information from the Site;
  • Disrupt or interfere with the security or proper functioning of the Service, or any servers or networks connected to the Service;
  • Encourage or promote any activity that violates these Terms or any applicable law.

4.3 Content Removal: Nehborly reserves the right, but is not obligated, to remove or disable access to any content that violates these Terms or is otherwise objectionable, at our sole discretion and without prior notice.

5. NHBCoin: Social Currency & Disclaimer

5.1 Nature of NHBCoin: NHBCoin is currently an internal social currency used within the Nehborly platform (“NHBCoin”) to reward User engagement. It does not confer any ownership rights, profits, or legal claim against Nehborly or its affiliates.

5.2 No Guaranteed Value: While NHBCoin may in the future be traded on our upcoming centralized exchange (CEX) or decentralized exchange (DEX), Nehborly does not guarantee or promise any particular value or liquidity. The value of NHBCoin, if any, may fluctuate significantly, and you acknowledge that there is a risk of partial or total loss.

5.3 KYC Requirements: You understand and agree that to trade or transfer your NHBCoin on the CEX (once launched), you will be required to complete a more in-depth KYC (Know Your Customer) verification process. Nehborly reserves the right to impose additional requirements or limit the ability to trade NHBCoin if you fail to meet these KYC standards.

5.4 Assumption of Risk: You assume full responsibility and risk of any loss resulting from your acquisition, holding, or use of NHBCoin. Nehborly is not liable for any losses or damages, whether direct or indirect, arising from your interaction with NHBCoin.

6. Account Responsibility

6.1 Account Creation: When creating an account, you agree to provide accurate, current, and complete information. You must keep your login credentials confidential and are responsible for all activities that occur under your account.

6.2 Unauthorized Access: You agree to immediately notify Nehborly of any unauthorized use of your account or any other breach of security. We will not be liable for losses incurred due to unauthorized use of your account.

7. Intellectual Property Rights

7.1 User Content: By posting or uploading any content to the Service, you grant Nehborly a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, display, reproduce, modify, distribute, and prepare derivative works of such content in connection with the operation of the Service.

7.2 Nehborly’s IP: All trademarks, service marks, logos, trade names, and other proprietary designations of Nehborly used herein are trademarks or registered trademarks of Nehborly. You may not use any of Nehborly’s marks without prior written consent.

8. Disclaimers

8.1 No Warranty: The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

8.2 Third-Party Links: The Service may contain links to third-party websites or services. Nehborly does not endorse and is not responsible for the content or practices of those third parties.

8.3 No Financial or Tax Advice: Nehborly does not provide investment, financial, or tax advice. Any information provided through the Service is for general informational purposes only and should not be considered a substitute for professional advice. You are solely responsible for any decisions you make in relation to NHBCoin or any transactions on the platform.

9. Limitation of Liability

9.1 Indirect Damages: To the fullest extent permitted by applicable law, Nehborly and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of or inability to use the Service.

9.2 Aggregate Liability: In no event shall Nehborly’s aggregate liability for all claims relating to the Service exceed the greater of (a) the amount you have paid Nehborly, if any, in the last six (6) months, or (b) one hundred U.S. dollars ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless Nehborly, its affiliates, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from:

  • Your use or misuse of the Service or NHBCoin;
  • Your breach of these Terms;
  • Your violation of any third-party rights, including intellectual property or privacy rights;
  • Any content you post, upload, or otherwise make available on the Service.

11. Account Suspension & Termination

11.1 Termination by Nehborly: We reserve the right, at our sole discretion, to suspend or terminate your account at any time and for any reason, including but not limited to a violation of these Terms. In such an event, your right to use the Service will immediately cease.

11.2 Effect of Termination: Upon termination, all licenses and other rights granted to you in these Terms will immediately cease. You acknowledge and agree that Nehborly shall not be liable to you or any third party for any termination of your access to the Service.

12. Governing Law & Dispute Resolution

12.1 Applicable Law: These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United States, the United Arab Emirates, and/or other jurisdictions where Nehborly or its affiliates maintain a presence, without regard to conflict of law principles.

12.2 Jurisdiction: Any legal suit, action, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the courts of the aforementioned jurisdictions. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. Changes to the Site

13.1 Service Updates: We may update, modify, or discontinue any aspect of the Service (including support for NHBCoin) at any time without notice and without liability to you.

13.2 No Guarantee of Availability: Nehborly does not warrant or guarantee that the Service will be available at any particular time or location, or that any defects will be corrected.

14. Miscellaneous

14.1 Entire Agreement: These Terms, along with our Privacy Policy and any other legal notices published on the Site, constitute the entire agreement between you and Nehborly regarding the Service.

14.2 Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

14.3 Waiver: No waiver of any term in these Terms shall be deemed a further or continuing waiver of such term or any other term, and Nehborly’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment: You may not assign these Terms or any rights or obligations herein without the prior written consent of Nehborly. Nehborly may assign or transfer these Terms, in whole or in part, without restriction.
